SECRETARY OF STATE REMINDS BUSINESSES TO FILE ANNUAL REPORTS BY JULY 2;

EXTENDS OFFICE HOURS ON JULY 2 TO ACCEPT FILINGS

State law requires all business entities doing business in Kentucky to file annual reports with the Kentucky Secretary of State’s office and pay a $15 filing fee no later than June 30 each year. However, because the statutory deadline falls on a Saturday this year, businesses are allowed through Monday, July 2, 2012, to fulfill this obligation.

Secretary of State Alison Lundergan Grimes, Kentucky’s Chief Business Official, is encouraging businesses to file their reports online via the Secretary of State’s website at www.sos.ky.gov. “Filing online before the deadline is both cost- and time-efficient for businesses and this office,” said Grimes. In reviewing the filings that have occurred to date, Grimes said, “More than half of the nearly 150,000 businesses that have already filed this year have taken advantage of filing online, and I urge the approximately 44,000 businesses that have yet to file to do so as well.”

Businesses may also file and pay in person at the Secretary of State’s office. To assist those businesses that want to file in person, Grimes announced that her office will extend its office hours and remain open on Monday, July 2, 2012, until 6:30 p.m. Eastern Time to accept filings. Grimes said, “It is vital that business owners don’t miss an opportunity to file this very important paperwork, and we are happy to do what we can to support our business community by staying open later and being available to them.”

If necessary, hard copy printed reports can be mailed to the Annual Reports Section, P.O. Box 1150, Frankfort, KY 40602-1150. Checks for the fee should be made payable to the Kentucky State Treasurer and must be received by the office by the July 2 deadline.

Businesses that fail to file their annual reports by July 2 will be listed in bad standing with the office and receive a final 60-day notice. Failure to comply with the 60-day notice results in administrative dissolution of the business entity or revocation of authority.
